组织架构-联合国海南商会(UN Hainan Chamber of Commerce)
一、 理事会
理事会是商会的最高权力机构,负责制定商会的发展战略、重大决策和监督执行。理事会成员由会员大会选举产生,任期三年,可连选连任。
理事会职责:

制定和修改商会章程。

选举和罢免会长、副会长、秘书长。
-
审议和批准商会年度工作报告和财务报告。
-
决定商会重大事项。
二、 常务理事会
常务理事会是理事会的常设机构,在理事会闭会期间行使理事会部分职权,对理事会负责。常务理事会成员由理事会选举产生,任期三年,可连选连任。
常务理事会职责:

执行理事会决议。
-
制定商会年度工作计划和财务预算。
-
决定商会日常事务。
-
决定设立办事机构、分支机构、代表机构和实体机构。

决定副秘书长、各机构主要负责人的聘任。
三、 秘书处
秘书处是商会的日常办事机构,负责处理商会的日常事务,执行理事会和常务理事会的决议。秘书长由理事会选举产生,任期三年,可连选连任。
秘书处职责:

负责商会的日常行政管理。
-
组织实施商会年度工作计划。
-
负责商会财务管理。
-
负责会员发展和管理。
-
负责对外联络和宣传工作。
-
负责商会其他日常事务。
四、 专业委员会
根据商会发展需要,可设立若干专业委员会,负责开展相关领域的专业活动。专业委员会主任由常务理事会聘任,任期三年,可连选连任。
专业委员会职责:

组织开展相关领域的专业活动。
-
为会员提供专业咨询和服务。
-
收集和反映会员意见和建议。
-
完成常务理事会交办的其他任务。
五、 分支机构
根据商会发展需要,可在海南省内设立若干分支机构,负责开展区域性活动。分支机构负责人由常务理事会聘任,任期三年,可连选连任。
分支机构职责:

组织开展区域性活动。
-
为会员提供区域性服务。
-
收集和反映会员意见和建议。
-
完成常务理事会交办的其他任务。
六、 会员大会
会员大会是商会的最高权力机构,由全体会员组成。会员大会每年召开一次,必要时可提前或延期召开。
会员大会职责:
-
选举和罢免理事会成员。
-
审议和批准理事会工作报告和财务报告。
-
决定商会其他重大事项。
七、 其他机构
根据商会发展需要,可设立其他机构,如顾问委员会、专家委员会等,为商会发展提供智力支持。
1、 The Council
The Council is the highest authority of the Chamber of Commerce, responsible for formulating its development strategies, major decisions, and supervising their implementation. The members of the board of directors are elected by the general meeting of members for a term of three years and may be re elected.
Responsibilities of the Council:
Develop and revise the articles of association of the Chamber of Commerce.
Election and recall of the President, Vice President, and Secretary General.
Review and approve the annual work report and financial report of the Chamber of Commerce.
Deciding on major matters of the Chamber of Commerce.
2、 Executive Council
The Executive Council is a permanent body of the Council, which exercises some of the powers of the Council during its recess and is responsible to the Council. The members of the Executive Council are elected by the Council for a term of three years and may be re elected.
Responsibilities of the Executive Council:
Implement the resolutions of the board of directors.
Develop an annual work plan and financial budget for the Chamber of Commerce.
Deciding on the daily affairs of the Chamber of Commerce.
Decided to establish administrative offices, branch offices, representative offices, and physical offices.
Deciding on the appointment of Deputy Secretary General and main responsible persons of various institutions.
3、 Secretariat
The Secretariat is the daily operational body of the Chamber of Commerce, responsible for handling the Chamber's daily affairs and implementing resolutions of the Council and Executive Council. The Secretary General is elected by the Council for a term of three years and may be re elected.
Responsibilities of the Secretariat:
Responsible for the daily administrative management of the Chamber of Commerce.
Organize and implement the annual work plan of the Chamber of Commerce.
Responsible for financial management of the Chamber of Commerce.
Responsible for member development and management.
Responsible for external liaison and publicity work.
Responsible for other daily affairs of the Chamber of Commerce.
4、 Professional Committee
According to the development needs of the Chamber of Commerce, several professional committees can be established to be responsible for carrying out professional activities in related fields. The chairman of the professional committee is appointed by the executive council for a term of three years and may be re elected.
Responsibilities of the Professional Committee:
Organize professional activities in related fields.
Provide professional consultation and services to members.
Collect and reflect member opinions and suggestions.
Complete other tasks assigned by the Executive Council.
5、 Branch offices
According to the development needs of the Chamber of Commerce, several branch offices can be established within Hainan Province to carry out regional activities. The head of a branch office shall be appointed by the Executive Council for a term of three years and may be re elected.
Responsibilities of branch offices:
Organize regional activities.
Provide regional services to members.
Collect and reflect member opinions and suggestions.
Complete other tasks assigned by the Executive Council.
6、 Membership Meeting
The General Assembly of Members is the highest authority of the Chamber of Commerce, composed of all members. The general meeting of members shall be held once a year, and may be advanced or postponed if necessary.
Responsibilities of the General Meeting of Members:
Election and dismissal of council members.
Deliberate and approve the work report and financial report of the board of directors.
Decide on other major matters of the Chamber of Commerce.
7、 Other institutions
According to the development needs of the Chamber of Commerce, other institutions such as advisory committees, expert committees, etc. can be established to provide intellectual support for the development of the Chamber of Commerce.
