商会章程-联合国海南商会(UN Hainan Chamber of Commerce)

第一章 总则

第一条 名称

本会名称为联合国海南商会(United Nations Hainan Chamber of Commerce,简称UNHCC)。

第二条 性质

本会是在联合国相关机构支持下,由海南省内外致力于促进全球经济交流合作的企业家、专家学者和社会各界人士自愿组成的非营利性国际组织。

第三条 宗旨

本会秉承“开放、包容、合作、共赢”的理念,致力于搭建连接海南与全球的桥梁,推动海南自由贸易港建设,促进全球经济繁荣发展。

第四条 会址

本会会址设在联合国大厦。

第二章 业务范围

第五条 业务范围

本会的主要业务范围包括:

  1. 搭建国际交流平台,促进海南与全球在贸易、投资、科技、文化等领域的交流合作;

  2. 提供专业咨询服务,为会员企业提供政策解读、投资咨询、法律咨询等服务;

  3. 促进产业合作发展,搭建产业对接平台,推动科技创新合作,支持中小企业发展;

  4. 开展公益慈善活动,参与全球公益事业,支持海南社会发展。

第三章 会员

第六条 会员资格

凡承认本会章程,自愿加入本会,并具备下列条件之一者,均可申请成为本会会员:

  1. 在海南省内外注册的企业、事业单位和社会团体;

  2. 在海南省内外工作的企业家、专家学者和社会各界人士。

第七条 会员权利

  1. 享有本会的选举权、被选举权和表决权;

  2. 参加本会组织的各项活动;

  3. 享受本会提供的各项服务;

  4. 对本会工作提出批评、建议和监督;

  5. 入会自愿,退会自由。

第八条 会员义务

  1. 遵守本会章程,执行本会决议;

  2. 维护本会合法权益;

  3. 积极参加本会组织的各项活动;

  4. 按规定缴纳会费;

  5. 向本会反映情况,提供有关资料。

第九条 会员退会

会员退会应书面通知本会,并交回会员证。会员如果一年不缴纳会费或不参加本会活动的,视为自动退会。

第十条 会员除名

会员如有严重违反本章程的行为,经理事会或常务理事会表决通过,予以除名。

第四章 组织机构和负责人产生、罢免

第十一条 会员大会

会员大会是本会的最高权力机构,其职权是:

  1. 制定和修改章程;

  2. 选举和罢免理事会成员;

  3. 审议理事会工作报告和财务报告;

  4. 决定终止事宜;

  5. 决定其他重大事项。

第十二条 理事会

理事会是会员大会的执行机构,在会员大会闭会期间领导本会开展日常工作,对会员大会负责。理事会成员由会员大会选举产生,任期三年,可连选连任。

第十三条 常务理事会

常务理事会是理事会的常设机构,在理事会闭会期间行使理事会部分职权,对理事会负责。常务理事会成员由理事会选举产生,任期三年,可连选连任。

第十四条 秘书处

秘书处是本会的日常办事机构,负责处理本会的日常事务,执行理事会和常务理事会的决议。秘书长由理事会选举产生,任期三年,可连选连任。

第十五条 专业委员会

根据本会发展需要,可设立若干专业委员会,负责开展相关领域的专业活动。专业委员会主任由常务理事会聘任,任期三年,可连选连任。

第十六条 分支机构

根据本会发展需要,可在海南省内设立若干分支机构,负责开展区域性活动。分支机构负责人由常务理事会聘任,任期三年,可连选连任。

第五章 资产管理、使用原则

第十七条 经费来源

  1. 会费;

  2. 捐赠;

  3. 政府资助;

  4. 在核准的业务范围内开展活动或服务的收入;

  5. 利息;

  6. 其他合法收入。

第十八条 经费使用

本会经费必须用于本章程规定的业务范围和事业发展,不得在会员中分配。

第十九条 财务管理

本会建立严格的财务管理制度,保证会计资料合法、真实、准确、完整。

第二十条 资产管理

本会的资产,任何单位、个人不得侵占、私分和挪用。

第六章 章程的修改程序

第二十一条 章程修改

对本会章程的修改,须经理事会表决通过后报会员大会审议。

第二十二条 章程生效

修改后的章程,须在会员大会通过后15日内,经业务主管单位审查同意,并报社团登记管理机关核准后生效。

第七章 终止程序及终止后的财产处理

第二十三条 终止程序

本会完成宗旨或自行解散或由于分立、合并等原因需要注销的,由理事会提出终止动议。

第二十四条 终止决议

终止动议须经会员大会表决通过,并报业务主管单位审查同意。

第二十五条 清算

本会终止前,须在业务主管单位及有关机关指导下成立清算组织,清理债权债务,处理善后事宜。清算期间,不开展清算以外的活动。

第二十六条 注销登记

本会经社团登记管理机关办理注销登记手续后即为终止。

第二十七条 剩余财产处理

本会终止后的剩余财产,在业务主管单位和社团登记管理机关的监督下,按照国家有关规定,用于发展与本会宗旨相关的事业。

第八章 附则

第二十八条 章程解释权

本章程的解释权属本会理事会。

第二十九条 章程生效日期

本章程自社团登记管理机关核准之日起生效。





Chapter 1: General Provisions

Article 1: Name
The name of this organization shall be the United Nations Hainan Chamber of Commerce (UNHCC).

Article 2: Nature
This organization is a non-profit international organization voluntarily formed by entrepreneurs, experts, scholars, and people from all walks of life both within and outside Hainan Province, with the support of relevant United Nations agencies, dedicated to promoting global economic exchange and cooperation.

Article 3: Purpose
This organization adheres to the philosophy of "openness, inclusiveness, cooperation, and mutual benefit," aiming to build a bridge connecting Hainan with the world, promote the construction of the Hainan Free Trade Port, and foster global economic prosperity and development.

Article 4: Location
The location of this organization shall be in the United Nations Building.

Chapter 2: Business Scope

Article 5: Business Scope
The main business scope of this organization includes:

  • Building international exchange platforms to promote cooperation between Hainan and the global community in trade, investment, technology, culture, and other fields;

  • Providing professional consulting services, offering policy interpretation, investment consulting, legal consulting, and other services to member enterprises;

  • Promoting industrial cooperation and development, establishing industrial matchmaking platforms, driving technological innovation cooperation, and supporting the development of small and medium-sized enterprises;

  • Conducting public welfare and charitable activities, participating in global public welfare initiatives, and supporting social development in Hainan.

Chapter 3: Membership

Article 6: Membership Qualifications
Any individual or entity that acknowledges the constitution of this organization, voluntarily joins, and meets one of the following conditions may apply to become a member:

  • Enterprises, institutions, and social organizations registered both within and outside Hainan Province;

  • Entrepreneurs, experts, scholars, and people from all walks of life working both within and outside Hainan Province.

Article 7: Membership Rights
Members shall enjoy the following rights:

  • The right to vote, be elected, and express opinions;

  • Participation in all activities organized by this organization;

  • Access to all services provided by this organization;

  • The right to criticize, suggest, and supervise the work of this organization;

  • Voluntary membership and the freedom to withdraw.

Article 8: Membership Obligations
Members shall:

  • Abide by the constitution of this organization and execute its resolutions;

  • Protect the legitimate rights and interests of this organization;

  • Actively participate in all activities organized by this organization;

  • Pay membership dues as stipulated;

  • Report situations and provide relevant information to this organization.

Article 9: Membership Withdrawal
Members who wish to withdraw shall notify this organization in writing and return their membership certificates. Members who fail to pay dues or participate in activities for one year shall be considered to have automatically withdrawn.

Article 10: Membership Expulsion
Members who seriously violate the constitution of this organization shall be expelled upon a vote by the council or standing council.

Chapter 4: Organizational Structure and Appointment and Removal of Officers

Article 11: General Assembly
The General Assembly is the highest authority of this organization and has the following powers:

  • Formulating and amending the constitution;

  • Electing and removing council members;

  • Reviewing the council's work report and financial report;

  • Deciding on termination matters;

  • Deciding on other major matters.

Article 12: Council
The council is the executive body of the General Assembly and leads the daily operations of this organization during the inter-session of the General Assembly, reporting to the General Assembly. Council members are elected by the General Assembly and serve for three years, eligible for re-election.

Article 13: Standing Council
The standing council is a permanent body of the council, exercising some powers of the council during its inter-session, reporting to the council. Standing council members are elected by the council and serve for three years, eligible for re-election.

Article 14: Secretariat
The secretariat is the daily operational body of this organization, responsible for handling daily affairs and executing the resolutions of the council and standing council. The secretary-general is elected by the council and serves for three years, eligible for re-election.

Article 15: Professional Committees
According to the needs of this organization's development, several professional committees may be established to carry out specialized activities in relevant fields. The directors of professional committees are appointed by the standing council and serve for three years, eligible for re-appointment.

Article 16: Branch Offices
According to the needs of this organization's development, several branch offices may be established within Hainan Province to carry out regional activities. The heads of branch offices are appointed by the standing council and serve for three years, eligible for re-appointment.

Chapter 5: Asset Management and Usage Principles

Article 17: Sources of Funds
The sources of funds for this organization include:

  • Membership dues;

  • Donations;

  • Government grants;

  • Income from activities or services conducted within the approved business scope;

  • Interest;

  • Other legitimate income.

Article 18: Fund Usage
The funds of this organization must be used for the business scope and development of the organization as stipulated in the constitution, and shall not be distributed among members.

Article 19: Financial Management
This organization shall establish strict financial management systems to ensure the legality, authenticity, accuracy, and completeness of accounting records.

Article 20: Asset Management
The assets of this organization shall not be appropriated, privately divided, or misappropriated by any unit or individual.

Chapter 6: Procedures for Amending the Constitution

Article 21: Constitution Amendment
Amendments to the constitution of this organization shall be proposed by the council and submitted to the General Assembly for review.

Article 22: Constitution Effective Date
The amended constitution shall take effect 15 days after approval by the competent authority and verification by the social organization registration authority.

Chapter 7: Termination Procedures and Disposal of Assets Upon Termination

Article 23: Termination Procedures
When this organization completes its purpose, dissolves on its own, or needs to be liquidated due to division, merger, or other reasons, the council shall propose a termination motion.

Article 24: Termination Resolution
The termination motion shall be approved by the General Assembly and reviewed by the competent authority.

Article 25: Liquidation
Before termination, this organization shall establish a liquidation organization under the guidance of the competent authority and relevant authorities to settle debts and handle other matters. During the liquidation period, no activities outside of liquidation shall be conducted.

Article 26: Cancellation Registration
This organization shall be deemed terminated upon completion of the cancellation registration procedures with the social organization registration authority.

Article 27: Disposal of Remaining Assets
The remaining assets of this organization after termination shall be used in accordance with national regulations for the development of activities related to the purpose of this organization, under the supervision of the competent authority and the social organization registration authority.

Chapter 8: Supplementary Provisions

Article 28: Constitution Interpretation Authority
The interpretation of this constitution belongs to the council of this organization.

Article 29: Constitution Effective Date
This constitution shall take effect from the date of approval by the social organization registration authority.
